Who you need, and when you need them.

Selling commercial real estate pulls in more specialists than most owners expect. Here is the cast, in the order they show up — and we can point you to the ones you need.

Stage 01

Before you sell

Real estate attorney

Reviews the purchase agreement, title objections, and entity issues. Required at closing in some states; worth having in all of them for anything unusual.

Tax advisor / CPA

Models your gain, depreciation recapture, and state tax before you commit to a structure — not after.

Qualified intermediary

Holds the proceeds in a 1031 exchange. Must be engaged before closing; once you receive the money, the exchange is gone.

Stage 02

During diligence

Environmental consultant

Phase I site assessments and, where a Phase I flags a recognized condition, Phase II sampling. Central to gas stations, dry cleaners, auto service, and industrial sites.

Tank and remediation contractor

Tank tightness testing, removal, closure, and remediation — and the paperwork that state trust funds require to reimburse it.

Surveyor

ALTA/NSPS land title surveys that show boundaries, easements, encroachments, and access — the document a title insurer leans on.

Property condition assessor

Roof, structure, paving, and building systems, with a cost schedule. Useful before you sell so the numbers are not a surprise.

Stage 03

At closing

Title and escrow

Title commitment, insurance, payoff letters, recording, and the closing itself. Clean up liens and old easements early — they are the most common cause of a slipped date.

Lender payoff and release

Your servicer's payoff statement and lien release. Prepayment penalties and defeasance on commercial loans take time to quote, so request them early.

Stage 04

After the sale

Replacement property broker

If you are exchanging, someone sourcing replacement property against your 45-day identification deadline.

Moving and decommissioning

Equipment removal, signage, and utility shutoffs for an owner-operator handing over the keys — or staying on under a sale-leaseback.
